2016  Proposed Changes to Louisiana Art Educators Association Bylaws and Articles of Incorporation

 

In an effort to clarify the current Bylaws and Articles of Incorporation, the LAEA Board proposes the following changes:

 

 

BYLAWS:

ARTICLE II – DUTIES OF OFFICERS

Section 7 .       REGIONAL VICE-PRESIDENTS:  It shall be the duty of the Regional

Vice-Presidents to serve on the Council and the Executive Board, and other such duties as outlined in the LAEA Handbook.

Rationale for Change – Bylaws don’t mention Division Representatives, and they will serve on the Council, not the Executive Board.

The Nominating Committee shall submit two candidates for each office at the Council Meeting at the Fall Conference.

Rationale for Change – “at the Fall Conference” does not allow for adequate notice of the change vote before the vote is called for.

 

ARTICLES OF INCORPORATION:

ARTICLE III – MEMBERSHIP

Section 1.        ORGANIZATION – The LAEA shall be organized to include state Officers, a Council, and Executive Board, Regional Vice Presidents, Chairpersons, Support Chairpersons, Affiliated Groups and Students Chapter Representatives.

Rationale for Change – language is redundant and confusing.

Section 2.        COUNCIL – There shall be a council, consisting of the President, President-Elect, appointed officers, the Division Representatives, Regional Vice Presidents and Support Chairs.

 

Two-thirds of the members of the LAEA Executive Board shall constitute a quorum. The LAEA Executive Board shall be the executive authority of the Association.

 

Section 3.        EXECUTIVE BOARD – There shall be an Executive Board composed of all officers.

 

Two-thirds of the Executive Board shall constitute a quorum.

Section 5.        TERMS OF OFFICE – The term of office of all LAEA Officers will be for two years.

Rationale for Change – Although it is desirable to find new and diverse members of the Council, for some positions, continuity is valuable – examples are Treasurer and

Awards Chairman, though not exclusively.

 

 

ARTICLE III – MEMBERSHIP

Section 6.        REGIONS – The state’s eight planning districts shall be divided into four regions: Southeast, Southwest, Central, and North. The Southeast Region shall be composed of districts one, two and three. The Southwest Region shall be composed of districts four and five. The Central Region shall be composed of district six.  The North Region shall be composed of districts seven and eight.

The Central Region shall be composed of district six and Catahoula and Concordia Parishes. The North Region shall be composed of districts seven and eight minus Catahoula and Concordia Parishes.

 

Rationale for change – Define the planning districts, and the Central Region is the least populous in the state and Catahoula and Concordia Parishes are in closer proximity to the Central Region than to the North Region. This also give a more even distribution of population in the Central and North Regions.

 

ARTICLE V – ELECTIONS

Section 2         NOMINATION COMMITTEE IN EVEN NUMBERED YEARS – The LAEA Council

shall appoint a nomination committee composed of Regional Vice Presidents to prepare a slate of two candidates for the office of President-Elect. The President will designate the Chair.

 

IN ODD NUMBERED YEARS  – The Regional Vice-Presidents shall recommend a nominating committee composed of one representative from each region. The LAEA Council will ratify the committee and the President will designate the Chair. The committee will prepare a slate of two candidates for each Regional Vice- President at least by the Fall Conference prior to the elections.

The election shall be conducted by ballot, as needed. The ballot shall also appear in the LAEA newsletter.
